01Who this agreement is with

These terms apply to any Audit, Retainer or Embedded engagement with SEROKUZE, an independent SEO consultancy based in Kyiv, Ukraine, referred to here as "I" or "me". The other party is the "client".

You accept these terms by signing a proposal, paying an invoice, or otherwise instructing me to start work — whichever happens first.

02What each engagement includes

Audit — a fixed-fee technical and content review, delivered as a written report with prioritised fixes. Currently $1,649 per audit.

Retainer — ongoing monthly work at a fixed monthly fee, currently $2,400/month, covering the scope agreed in the proposal. Billed in advance.

Embedded — a custom quarterly scope for teams that want me working alongside them rather than reporting from outside. Price and deliverables are set per quarter in a separate proposal.

The signed proposal for your engagement is the definitive scope. Anything not listed there is a new piece of work, quoted separately.

03Payment

Invoices are due within 14 days of the invoice date, by bank transfer or the payment method stated on the invoice.

If an invoice is more than 14 days overdue, I may pause work until it is settled. This has never been necessary so far, and I would rather have a conversation first.

Prices are in USD and exclude any tax the client's jurisdiction requires the client to withhold or add.

04What you need to provide

Timely access to the systems the work touches — analytics, Search Console, CMS, hosting, or a developer who can make the changes. Delays here delay the timeline by the same amount.

Accurate information about the business, past SEO work, and any prior penalties or manual actions. Recommendations are only as good as what I am told.

A reasonably prompt review of deliverables — reports, specs, drafts — so the engagement keeps moving.

05No guaranteed rankings or traffic

SEO recommendations are built on data and experience, but rankings and organic traffic depend on search engines I do not control and cannot bind. I commit to the work described in the proposal, not to a specific position, traffic number or timeline.

Where a proposal states an expected range or timeframe, it is a professional estimate, not a guarantee.

06Intellectual property

You own your website, your content and any deliverable created specifically for your engagement — reports, specs, copy, code changes — once it is paid for.

Any tool, template, script or methodology I built before or independently of your engagement remains mine, even when it is used in your deliverables.

Unless you ask me in writing not to, I may name your company and describe the type of work in my portfolio and case studies. No confidential detail is ever included.

07Confidentiality

Both sides keep the other's non-public information confidential during the engagement and for two years after it ends. This does not cover information that is already public, was already known, or that the law requires either of us to disclose.

Access credentials you provide are stored in an encrypted vault and deleted once the engagement ends, unless you ask me to keep them for a follow-up project.

08Liability

My liability for any claim arising from an engagement is limited to the fees you paid in the three months before the claim. I am not liable for indirect or consequential losses, including lost profits or lost rankings.

Nothing in this section limits liability that cannot be limited under Ukrainian law or, where you are an EU-based consumer, under the consumer protection law of your country of residence.

09Ending the engagement

A Retainer can be ended by either side with 30 days' written notice. Work already invoiced is not refunded; work in progress is handed over in its current state.

An Audit is a fixed-fee, fixed-scope piece of work. Once I have started, it is not cancellable; if you cancel before I start, you get a full refund minus any hours already spent scoping.

An Embedded quarter follows the notice period set in its own proposal, since teams plan around it.

10Governing law and changes

These terms are governed by the law of Ukraine. If you are a consumer resident in the EU, nothing here removes the protections your local consumer law gives you.

I may update this page as the way I work changes. Updates apply to engagements starting after the change — a signed proposal is governed by the terms in force when you signed it.
